Terms of Service

Registration

You must register an account to use the Services. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your registration information
• Keep your account credentials confidential and not share them with any third party
• Notify IPnivo immediately of any unauthorized use of your account

You must be at least 18 years old to register. IPnivo reserves the right to refuse registration or close an account at any time, at its sole discretion.

Account Verification

IPnivo may require you to verify your identity and account information (Know Your Customer / KYC). You agree to cooperate fully with any verification process, including providing government-issued ID, proof of address, or other requested documents. Failure to cooperate may result in account suspension or termination.

One Account per Person

Each individual or entity may maintain only one account. Creating multiple accounts to bypass usage limits, refund policies, or other restrictions is prohibited and may result in termination of all related accounts.

License

Subject to your compliance with all terms and conditions, IPnivo grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for lawful business purposes during the term of these Terms.

Restrictions

You may not:

• Sublicense, resell, or distribute the Services to any third party without written authorization
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any IPnivo software or system
• Use the Services to compete with IPnivo or build a similar product or service
• Modify, adapt, or create derivative works based on the Services
• Use the Services in a manner that exceeds the scope of your purchased Quota

Service Types

IPnivo currently offers the following proxy products:

• Rotating Residential Proxies: globally rotating residential IPs with precise geo-targeting, billed by traffic
• Static Residential Proxies: high-performance static residential IPs, billed by number of IPs and duration

Service Availability

The Services are provided on an "as is" and "as available" basis. IPnivo does not guarantee:

• That the Services will always be available or uninterrupted
• That access to any specific website, platform, or target will be successful
• That connection speed, latency, or success rate will meet any particular threshold
• That IP geolocation will always match the selected target parameters with 100% accuracy

Service Changes

IPnivo reserves the right to modify, update, add, or remove service features, products, pricing, and functionality at any time, at its sole discretion, with or without notice. We will try to provide reasonable notice for material changes.

Free Tools

IPnivo may offer free tools (IP lookup, proxy detection, DNS leak test, etc.) for reference use only. These tools are provided as is without warranty of accuracy or completeness, and are not a substitute for professional network or security assessment.

Pricing

All prices are listed in U.S. dollars (USD) on the IPnivo website and may be changed by IPnivo at any time, at its sole discretion. The price displayed at the time of purchase will apply to your order.

Payment Methods

IPnivo accepts the following payment methods:

• Credit and debit cards (processed through Stripe)
• PayPal
• Cryptocurrency (USDT, BTC, and other listed currencies)
• Bank transfer / wire transfer (for enterprise orders)

Payment processing may be handled by third-party payment processors. Your relationship with these processors is governed by their respective terms and policies.

Subscriptions and Auto-Renewal

Some Services are offered on a subscription basis with automatic renewal:

• Subscriptions automatically renew at the end of each billing period using the same payment method and plan
• You may cancel auto-renewal at any time through your account dashboard or by contacting support@ipnivo.com
• Cancellation must be completed at least 48 hours before the next billing date to avoid being charged
• Canceling auto-renewal only stops future charges and does not affect the current billing period

Trial Orders

IPnivo offers trial orders for new customers:

• Trial orders are one-time charges with no auto-renewal
• Trials automatically expire after the trial period ends
• One trial per customer per product category

Billing Accuracy

You are responsible for reviewing your billing statements and reporting any errors within 7 calendar days after being charged. IPnivo will investigate and, if an error is confirmed, correct the billing accordingly.

Taxes

Unless otherwise expressly stated, all prices displayed on the IPnivo website do not include any applicable taxes, duties, or surcharges. For customers located in jurisdictions where IPnivo is legally required to collect and remit sales tax, VAT, GST, or similar transaction taxes, such taxes will be calculated at the applicable rate and itemized separately at checkout.

General Principle

As a general rule, subscription fees and payments are non-refundable. By purchasing IPnivo services, you acknowledge and agree that all fees paid are non-refundable, except for the specific situations expressly listed below.

Refund Eligibility

Refunds may be considered in the following limited situations:

• Accidental duplicate payment: If you are charged twice for the same order due to a system or payment processing error, IPnivo will refund the duplicate amount after verification
• Billing error: If you are charged the wrong amount due to a pricing or invoicing error, IPnivo will correct the charge and refund the overpaid amount

Non-Refundable Situations

The following situations are expressly non-refundable:

• Trial orders: non-refundable one-time charges
• Cryptocurrency payments: final and non-refundable due to the irreversible nature of blockchain transactions
• Normal service usage: fees for services that have been used or consumed, including partially used services
• Subscription periods: fees for a billing period that has already begun, regardless of usage level
• Quality dissatisfaction: where the service functions normally but does not meet your subjective expectations regarding speed, success rate, or targeting accuracy
• Customer-initiated cancellation: canceling a subscription does not trigger a refund for the current or any previous billing period
• Accounts suspended or terminated for Acceptable Use Policy violations: no refund
• Unused quota after expiration: any remaining quota at the end of a billing period is non-refundable
• Promotional or bonus credits: credits obtained through promotions, referrals, or giveaways are non-refundable and have no cash value

How to Request a Refund

If you believe you are eligible for a refund under Section 6.2:

• Contact our support team at support@ipnivo.com with your order number, account email, and a detailed description of the refund reason
• Alternatively, submit a refund request through your original payment platform (PayPal dispute, etc.)
• Our team will review your request within 1–2 business days
• If approved, the refund will be issued to your original payment method

Chargeback Notice

If you have a billing question, please contact support@ipnivo.com before initiating a chargeback with your bank or payment platform. We will work with you to resolve the issue as quickly as possible. Initiating a chargeback without first contacting IPnivo may result in account suspension and affect your eligibility for future refunds or services.

Refund Abuse Prevention

IPnivo reserves the right to deny refund requests that show patterns of abuse, including:

• Repeatedly requesting refunds across multiple orders
• Using a large amount of service before requesting a refund
• Creating multiple accounts to bypass refund limits
• Any fraudulent or deceptive conduct related to a refund request

Prohibited Activities

• Illegal activities: using the Services to violate any applicable local, national, or international laws or regulations
• Cyberattacks: launching, assisting with, or participating in denial-of-service attacks (DoS/DDoS), port scanning, brute-force attacks, or any other form of network attack or disruption
• Malware distribution: distributing or assisting in the distribution of viruses, malware, spyware, trojans, worms, or any other malicious code or software
• Fraud: engaging in or assisting with fraud, phishing, identity theft, credential stuffing, card testing, or any other fraudulent activity
• Intellectual property infringement: using the Services to infringe any third party's copyright, trademark, patent, trade secret, or other intellectual property rights
• Spam and abuse: sending unsolicited bulk emails, messages, or communications (spam); creating fake accounts; manipulating reviews, ratings, or social media metrics
• Harassment and intimidation: using the Services to stalk, harass, threaten, intimidate, or harm any individual or group
• Exploitation of minors: any use related to the exploitation of minors, including accessing, distributing, or assisting in accessing child abuse material
• Privacy violations: collecting, storing, or processing personal data without an individual's consent or in violation of applicable data protection laws
• Security circumvention: attempting to bypass, circumvent, or disable any website, service, or network security measures, access controls, or authentication systems
• Terrorism and violent extremism: using the Services to promote, support, or facilitate terrorism or violent extremism in any form
• Circumventing geo-restrictions for illegal purposes: using the Services to bypass geo-restrictions for illegal activities

Restricted Targets

IPnivo may maintain a list of restricted target websites and domains that customers may not access through the Services. This list may be updated by IPnivo at its sole discretion at any time without notice. Current restricted targets include, but are not limited to:

• Government and law enforcement websites of any country
• Websites known to host illegal content
• Financial institution login pages (when used for credential theft purposes)
• Medical and healthcare record systems (when used for unauthorized access purposes)

Monitoring and Enforcement

IPnivo reserves the right, but not the obligation, to monitor customer use of the Services for compliance with this Acceptable Use Policy. If IPnivo discovers a violation, it may take any of the following actions:

• Issue a warning
• Temporarily suspend the account
• Permanently terminate the account
• Report the violation to relevant law enforcement authorities
• Take legal action

Accounts terminated for Acceptable Use Policy violations will not receive any refund.

General Responsibilities

You are solely responsible for:

• Your use of the Services and any activity conducted through or in connection with the Services
• Any content you access, collect, or process using the Services
• Ensuring that your use of the Services complies with all applicable laws, regulations, and third-party rights
• Maintaining the security of your account credentials
• All costs and expenses associated with your use of the Services

Third-Party Content

The Services may enable you to access third-party websites, data, and resources ("Third-Party Content"). You acknowledge that:

• IPnivo does not endorse, verify, or assume responsibility for any Third-Party Content
• You are solely responsible for determining the legality and appropriateness of accessing any Third-Party Content
• IPnivo is not liable for any claims, damages, or losses arising from your access to or use of Third-Party Content

IPnivo Ownership

All intellectual property rights in the Services, Systems, websites, branding, logos, documentation, and any other materials provided by IPnivo belong to IPnivo or are licensed to IPnivo. These Terms do not grant you any intellectual property rights in the Services.

Customer Data

You retain ownership of any data you input, upload, or process through the Services. IPnivo does not claim ownership of your data.

Trademarks

"IPnivo" and any IPnivo product names, logos, and marks mentioned in these Terms are trademarks of IPnivo Limited. You may not use these trademarks without our prior written consent.

As Is Basis

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, IPNIVO expressly disclaims all representations and warranties of any kind, whether express, implied, or statutory, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties of accuracy, reliability, security, or completeness
• Warranties that the Services will be error-free, uninterrupted, or continuously available
• Warranties that access to any specific website, platform, or target will be successful
• Warranties arising from course of dealing, usage, or trade practice

No Guarantee of Results

IPnivo does not guarantee that use of the Services will produce any particular result, including but not limited to:

• Success rates for web requests or data collection tasks
• Connection speed or latency
• Geolocation accuracy
• Availability of specific IP types in specific locations

Limitations

To the fullest extent permitted by applicable law, IPNIVO, its affiliates, officers, directors, employees, agents, and contractors are not liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, revenue, or business opportunities
• Damages arising from your use or inability to use the Services
• Damages arising from any third-party conduct
• Damages arising from any security breach or unauthorized access to your account

Liability Cap

In no event shall IPNIVO's total aggregate liability arising out of or relating to these Terms or the Services exceed the total amount you paid to IPNIVO in the 12 months preceding the event giving rise to the claim, or USD 150, whichever is greater.

Jurisdictional Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.

Term

These Terms take effect when you register an account or first use the Services, and continue until terminated by either party.

Customer Termination

You may terminate your account at any time by:

• Canceling all active subscriptions through the account dashboard
• Contacting support@ipnivo.com

After termination, your access to the Services will stop at the end of the current billing period. No refund will be given for the remaining portion of the current or any previous billing period.

IPnivo Termination

IPnivo may suspend or terminate your account at any time, with or without notice, at its sole discretion, including but not limited to:

• Violation of these Terms or the Acceptable Use Policy
• Fraudulent, abusive, or suspicious activity
• Failure to pay fees when due
• Prolonged inactivity (90 consecutive days with no login or usage)
• Legal or regulatory requirements
• Service discontinuation

Effects of Termination

Upon termination:

• Your license to use the Services is immediately revoked
• All remaining quota, credits, or promotional balances are forfeited without refund
• You must immediately stop all use of the Services
• IPnivo may delete your account data after a reasonable retention period (30 days)

Informal Resolution

Before initiating any formal legal proceeding, you agree to contact support@ipnivo.com to try to resolve the dispute informally. We will respond within 30 days and attempt to resolve the issue.

Arbitration

Any dispute, controversy, claim, or disagreement of any kind arising out of or relating to these Terms or the Services (including any question regarding the existence, validity, or termination of these Terms) that cannot be resolved through the informal procedure described in Section 16.1 shall be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time the dispute is submitted.

The seat of arbitration shall be Hong Kong. The arbitration proceedings shall be conducted in English. The arbitral tribunal shall consist of one (1) arbitrator appointed in accordance with the HKIAC Rules. The arbitral award shall be final and binding on both parties, and judgment on the award may be entered in any court of competent jurisdiction.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China.

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and IPnivo regarding your use of the Services, superseding any prior agreements.

Amendments

IPnivo reserves the right to modify these Terms at any time, at its sole discretion. Changes take effect when posted on the IPnivo website. Your continued use of the Services after changes constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is held by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be modified to reflect the parties' intent, and the remaining provisions shall continue in full force and effect.

Waiver

IPnivo's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be express and in writing.

Assignment

You may not assign or transfer these Terms or your account without IPnivo's prior written consent. IPnivo may assign these Terms at any time without restriction.

Force Majeure

IPnivo is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, actions of civil or military authorities, fire, flood, accidents, strikes, labor disputes, cyberattacks, pandemics, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Export Compliance

You agree to comply with all applicable export and import control laws and regulations. You will not use, export, re-export, or transfer the Services in any manner that violates any applicable law, including any sanctions or embargoes.

Notices

All notices required or permitted under these Terms shall be sent to the email address associated with your account or to support@ipnivo.com.

Independent Contractors

The relationship between IPnivo and you is that of independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship.

Survival

Sections 7, 9, 11, 12, 13, and 17 survive termination of these Terms.
